By downloading or using the app, these terms will automatically apply to you – you should make sure therefore that you read them carefully before using the app. You’re not allowed to copy or modify the app, any part of the app, or our trademarks in any way. You’re not allowed to attempt to extract the source code of the app, and you also shouldn’t try to translate the app into other languages or make derivative versions. The app itself, and all the trademarks, copyright, database rights, and other intellectual property rights related to it, still belong to ZapYap.

What These Terms Cover

ZapYap is a family of products. Alongside the ZapYap password manager, the family now includes ZapYap chat, a team and community messaging app, and ZapYap AI, a set of consumer features that you sign in to with your ZapYap ID: AI companions you can chat with, a diary that writes itself from those conversations, photo-based meal logging, learning tools (coming soon), and a free image and document toolbox. These Terms apply to all of them. Please note that these are different products with different data models: the ZapYap password manager is designed to run on your device with end-to-end encryption, while most ZapYap AI features run on our servers and keep your files and chats as history (see our Privacy Policy for details). ZapYap chat is a separate product with its own data practices. Do not assume the password manager’s on-device protections carry over to ZapYap chat or ZapYap AI.

ZapYap is committed to ensuring that the app is as useful and efficient as possible. For that reason, we reserve the right to make changes to the app or to charge for its services, at any time and for any reason. We will never charge you for the app or its services without making it very clear to you exactly what you’re paying for.

The ZapYap app stores and processes personal data that you have provided to us, to provide our Service. It’s your responsibility to keep your phone and access to the app secure. We therefore recommend that you do not jailbreak or root your phone, which is the process of removing software restrictions and limitations imposed by the official operating system of your device. It could make your phone vulnerable to malware/viruses/malicious programs, compromise your phone’s security features and it could mean that the ZapYap app won’t work properly or at all.

You should be aware that there are certain things that ZapYap will not take responsibility for. Certain functions of the app will require the app to have an active internet connection. The connection can be Wi-Fi or provided by your mobile network provider, but ZapYap cannot take responsibility for the app not working at full functionality if you don’t have access to Wi-Fi, and you don’t have any of your data allowance left.

If you’re using the app outside of an area with Wi-Fi, you should remember that the terms of the agreement with your mobile network provider will still apply. As a result, you may be charged by your mobile provider for the cost of data for the duration of the connection while accessing the app, or other third-party charges. In using the app, you’re accepting responsibility for any such charges, including roaming data charges if you use the app outside of your home territory (i.e. region or country) without turning off data roaming. If you are not the bill payer for the device on which you’re using the app, please be aware that we assume that you have received permission from the bill payer for using the app.

Along the same lines, ZapYap cannot always take responsibility for the way you use the app i.e. You need to make sure that your device stays charged – if it runs out of battery and you can’t turn it on to avail the Service, ZapYap cannot accept responsibility.

With respect to ZapYap’s responsibility for your use of the app, when you’re using the app, it’s important to bear in mind that although we endeavor to ensure that it is updated and correct at all times, we do rely on third parties to provide information to us so that we can make it available to you. ZapYap accepts no liability for any loss, direct or indirect, you experience as a result of relying wholly on this functionality of the app.

At some point, we may wish to update the app. The app is currently available on Android & iOS – the requirements for the both systems(and for any additional systems we decide to extend the availability of the app to) may change, and you’ll need to download the updates if you want to keep using the app. ZapYap does not promise that it will always update the app so that it is relevant to you and/or works with the Android & iOS version that you have installed on your device. However, you promise to always accept updates to the application when offered to you, We may also wish to stop providing the app, and may terminate use of it at any time without giving notice of termination to you. Unless we tell you otherwise, upon any termination, (a) the rights and licenses granted to you in these terms will end; (b) you must stop using the app, and (if needed) delete it from your device.

Eligibility

You must be old enough to form a binding contract in your country to use ZapYap. The ZapYap AI companion and diary features are intended for adults only: to use them, you must be at least 18 years old and confirm your age. If you do not meet these requirements, please do not use those features.

ZapYap AI: What It Is, and No Professional Advice

ZapYap AI companions are artificial intelligence, not real people, even when a companion has a name, a persona, or a lifelike manner. Their responses are generated automatically and can be inaccurate, incomplete, or inappropriate. Do not rely on them as a substitute for professional judgment.

ZapYap AI does not provide medical, mental-health, legal, financial, or other professional advice. If a companion or the diary responds to a message about a crisis, self-harm, or your safety, that response is not professional help or an emergency service — if you or someone else may be in danger, contact your local emergency number or a qualified professional. Meal photo estimates (such as calories or nutrients) are rough guides only and are not medical or dietary advice.

Acceptable Use

When using ZapYap AI, you agree that you will not:

• upload, generate, or share content that is unlawful, abusive, harassing, hateful, sexually exploitative of minors, or that infringes anyone’s intellectual property or other rights;
• upload another person’s face, voice, likeness, or other personal characteristics without their permission — some ZapYap AI tools use these inputs to generate images, video, or audio, and you are responsible for having the rights to do so;
• attempt to circumvent, disable, or abuse rate limits, the credit system, or other usage controls; or
• interfere with, reverse engineer, or attempt to gain unauthorized access to the Service or the systems that provide it.

Companion personas that you or other users create are subject to moderation, and we may remove a persona or other content, or limit or suspend access, if it violates these Terms.

Your Content and the License You Grant Us

You keep the rights you already hold in the content you upload to or create with ZapYap AI — your messages, files, photos, diary entries, and companion personas. To provide the features, you grant ZapYap a worldwide, non-exclusive license to host, store, reproduce, and process that content, to keep it as part of your history, and to transmit it to the AI and infrastructure providers described in our Privacy Policy so they can generate responses and results for you. This license exists only so that we can operate and improve the Service, and it lasts as long as you keep the content in your account (and for a short period afterward while copies are cleared from backups). You are responsible for the content you provide and for having the rights necessary to share it with us.

Credits, Subscriptions, and Billing

Some ZapYap AI features are powered by credits. Credits are prepaid, are consumed as you use paid features, and can never fall below zero. Except where a refund is required by law, credits are non-refundable and have no cash value.

Companion Plus is an auto-renewing subscription that costs US$9.99 per month or US$99 per year, depending on the plan you choose. Your subscription automatically renews at the end of each billing interval (monthly or yearly), and your payment method is charged for the next interval unless you cancel before it renews. You can cancel at any time from your account settings or through the app store or platform you subscribed on; cancellation takes effect at the end of the current billing interval, and you keep access until then. Unless required by law, subscription fees already paid are non-refundable.

Payments for ZapYap AI are processed by Polar, which acts as the merchant of record for these purchases (Polar may use Stripe to process card payments). This means your card and payment details are handled by Polar and its payment processors — ZapYap AI never receives or stores your full card number.

Termination

You may stop using ZapYap at any time and may delete your content or account as described in our Privacy Policy. We may suspend or terminate your access to all or part of the Service if you breach these Terms, if we are required to by law, or if we discontinue a feature. When your access ends, the rights and licenses granted to you under these Terms stop, and you must stop using the affected features. Content you have deleted, and content associated with a terminated account, is removed from your account and deleted from our systems, though copies may persist briefly in backups before they are cleared. Sections that by their nature should survive termination — such as content licenses already used, disclaimers, limitations of liability, and the governing-law terms — continue to apply.

Disclaimers and Limitation of Liability

ZapYap AI and the rest of the Service are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that AI-generated content will be accurate or suitable for any purpose.

To the fullest extent permitted by law, ZapYap and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or relating to your use of the Service. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

Governing Law and Dispute Resolution

These Terms, and any dispute or claim arising out of or in connection with them or your use of the Service, are governed by the laws of Singapore, without regard to its conflict-of-law rules. Any such dispute — including any question about the existence, validity, or termination of these Terms — shall be referred to and resolved by the courts of Singapore, to whose jurisdiction you and ZapYap submit. Where both parties agree, or where required, a dispute may instead be referred to arbitration administered by the Singapore International Arbitration Centre (SIAC) under its rules then in force, with the seat of arbitration in Singapore and the proceedings conducted in English. Nothing in this section prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction, and nothing here removes any protection you have under the mandatory consumer-protection laws of your country of residence.

Changes to This Terms and Conditions

We may update our Terms and Conditions from time to time. Thus, you are advised to review this page periodically for any changes. We will notify you of any changes by posting the new Terms and Conditions on this page.
